This Agreement governs your participation in the Tradegreeks Referral Program (the “Program). This Agreement between you and Tradegreeks LLC (“Tradegreeks”) is in addition to the Membership Agreement, our Terms of Use, our Privacy Policy and all other documents and provisions applicable to the use of www.tradegreeks.com (the “Site”).
As a bona fide member of the Tradegreeks community, you are entitled to participate in the Program on the condition that you accept the terms and conditions of this Agreement by clicking on the “I agree” button below. If you do not agree to accept and abide by this Agreement, you should not participate in the Program. You can still use the Site links, but you won’t be paid for referrals. In the event of any inconsistency between this Agreement, the Membership Agreement and the Terms of Use, the terms of this Agreement shall govern.
Tradegreeks reserves the right, in its discretion, to change, terminate or modify all or any part of the Program or this Agreement at any time, effective immediately upon notice published on the Site. Your continued participation in the Program after such notice constitutes your binding acceptance of the terms and conditions in this Agreement, including any changes or modifications made by Tradegreeks as permitted above. If at any time the terms and conditions of this Agreement are no longer acceptable to you, you should immediately cease participation in the Program.
Program Overview
The TradeGreeks referral program is designed to share commissions across three levels. When a Member purchases a commission-eligible product or subscription, a referral commission is dispersed into a commission account. These referral commissions are based on a hierarchal structure as detailed in the Commission Payouts section. The purpose of this program is to broaden the TradeGreeks network and reward Members who bring in new subscribers.
Commission Details
When a Member buys a TradeGreeks commission-eligible product or service, a percentage of that purchase will be allocated for commissions. This amount is set according to the Product’s Commission payout. These commissions are split into the levels: Level 1, Level2 and Level 3. A Member accrues Level 1 commissions for each direct referral, the first level of “referral connections”; Level 2 commission-earnings accrue at the second level of referral connections, meaning the original Level 1 referrals, in turn, referred new Members. Similarly, Level 3 commissions reflect the third level of referral connections. A subscription to the referral program is required to receive accruals. TradeGreeks reserves the right to change, at any time, what constitutes an eligible commission.
Eligibility
To be eligible for the accrued payout from the referral commissions, Members must provide their social security number. This is required as TradeGreeks will issue 1099 documents and other tax related documents where applicable upon commission payout.
Commissions will be accrued for all the referral connections when the member continues with the service or product after the trial period end
Commission Payout
Payments are made according to the date set upon subscription. There can be a minimum payment threshold for most referral programs. These details can be found in the Products and Pricing section.Payment processing may take approximately 4-6 weeks.
Referral Membership Deactivation and Referral Connections
Once a Member establishes a referral and maintains an active referral Membership, these referrals will not expire. This applies to all three referral levels. Purchases made by any of the Member’s referrals at any time will earn referral commissions for the Member, as long as the Member maintains an active Membership account.
To maintain an active referral Membership, the Member needs to ensure that the referral program is renewed before the end of the grace period (after the expiration of a referral program). TradeGreeks reserves the right to update the grace period at anytime.
Once a referral Membership is deactivated then all the referrals associated with the account are deleted. Referral Memberships can be reactivated by purchasing a referral program. Reactivating referral Membership will not result in re-receiving the earlier referral connections; members need to start the referral connection process again.
TradeGreeks has the right to add, delete and modify any and all referral information, including the associated referral ID at any time.

Cancellation and Refunds
Once payments are processed for the referral program, no cancellations will be made prior to the end of the referral program. If cancelled, the cancellations will disable any auto renewals that maybe set up for the referral program. The Member will remain liable for all additional fees that will continue to accrue for the currently subscribed referral program.
Additional Fees and Charges
Member agrees to pay any additional fees and charges during the referral program. These fees and charges are described in the Product and Pricing details.
TradeGreeks has the right to change, add or delete fees and charges at any time TradeGreeks has the right to forfeit or adjust referral commissions in case of non-payment of any fees or charges to the members account.
Auto Renewal
For the convenience of TradeGreeks’ Members, and to avoid accidental referral Membership deactivation, all referral programs are set to Auto Renew at the end of the current referral program. Auto Renewal applies to the same referral program that the Member is currently registered with.
Changes to the auto renewal can be made online, using the Account Management services. Auto Renew happens for similar programs, unless the Member changes the Auto Renew parameters.
It is the Member’s responsibility to review the Auto Renew feature and make any changes to his or her account as needed; TradeGreeks will not be held liable for Auto Renewal fees and charges that the user has not cancelled within the specified time frame.
Subscription Upgrades and Downgrades
When a member subscribes to a referral program with higher payout limit than the current referral program then it is termed as subscription upgrade. When a member subscribes to a referral program with a lower payout limit than the current referral program then it is termed as subscription downgrade.
Subscription downgrade are not available for the referral programs. Members may choose to upgrade their referral program subscription via the Account Management page. There is no option to upgrade during an active referral program; all upgrades are applicable for the next referral program cycle and can be set to apply with the next Auto Renewal.

Age and Responsibility
You represent and warrant that you are of sufficient legal age to use the Site and to create binding legal obligations for any liability you may incur as a result of the use of the Site and your participation in the Program.
Applicable law
The Agreement shall be governed by, and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Arbitration taking place in Ohio shall be the exclusive dispute resolution process used by the parties hereto. Each of the parties hereby knowingly, voluntarily, and intentionally waives any right it may have to a trial by jury in respect of any litigation. The Service is directed solely to individuals over the age of 18 residing in the United States. We make no representation that materials provided through the Service are appropriate or available for use in other locations. Those who choose to access the Service from other locations do so on their own initiative and at their own risk and are responsible for compliance with local laws if and to the extent applicable. We reserve the right to limit the availability of the Service to any person, geographic area, or jurisdiction we so desire, at any time and at our sole discretion, and to limit the quantities of any such service or product that we provide.
General
If any provision of the Referral Program Agreement is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the Referral Program Agreement and shall not affect the validity and enforceability of any remaining provisions. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption, or section title contained in the Referral Program Agreement is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof. We reserve the right to require you to sign a non-electronic version of the Referral Program Agreement.

Acknowledgement
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND TRADEGREEKS REGARDING THE REFERRAL PROGRAM, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND TRADEGREEKS RELATING TO THE SUBJECT OF THIS AGREEMENT.
